These Terms of Service ("Terms") govern your access to and use of the website motive-os.com (the "Site"), operated by Motive LLC ("Motive," "we," "us," or "our"), an Idaho limited liability company. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Engaging Motive for a project is governed by a separate written agreement between you and Motive — these Terms do not create a client relationship.

We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party site. Access to third-party sites is at your own risk.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MOTIVE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MOTIVE LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

8. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions.

Any dispute arising from or related to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Ada County, Idaho. You consent to personal jurisdiction in such courts.

Informal resolution first: Before filing any legal proceeding, you agree to contact us at hello@motive-os.com and attempt to resolve the dispute informally for at least 30 days.

9. Digital Millennium Copyright Act (DMCA)

If you believe content on the Site infringes your copyright, please send a notice to hello@motive-os.com with: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the Site; (c) your contact information; (d) a statement of good faith belief that use is unauthorized; (e) a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. We will post updated Terms on this page with a revised "Last updated" date. Your continued use of the Site after changes constitutes acceptance of the updated Terms.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Motive with respect to your use of the Site and supersede any prior agreements. These Terms do not govern any separate written engagement agreement for services between you and Motive.
